General Terms and Conditions (GTC)

Status: Effective September 21, 2026

1 Provider and Scope

1.1 web.seitig is a brand of Snow Dream Studios GmbH, Schärenmoosstrasse 77, 8052 Zurich, Switzerland (hereinafter "web.seitig" or "we"). The contracting party is in all cases Snow Dream Studios GmbH.

1.2 These General Terms and Conditions (GTC) apply to all contracts regarding the web.seitig subscriptions (the lead system together with its website), the AI features, the web.seitig app, and all supplementary services (collectively the "Services"). They apply in all countries in which we offer the Services.

1.3 Our offering is directed exclusively at businesses, self-employed professionals, associations, and other commercial or organizational entities (hereinafter "Client"). Consumers are not eligible to enter into a contract.

1.4 The clients and customers of our Client are referred to in these GTC as "End Customers".

1.5 Integral parts of the contract are the service description published on webseitig.ch at the time of contract formation and the Data Processing Agreement (DPA). Differing terms and conditions of the Client shall only apply if expressly agreed to by us in writing.

2 Contract Formation

2.1 The contract is concluded when the Client places an order online, in the app, or in writing, provides a valid payment method, and we confirm the order via email.

2.2 The initial consultation is free of charge and non-binding.

2.3 If we cannot reach an agreement on the design draft, Section 4.4 applies.

3 Services

3.1 We offer two tiers: "Lead System" and "Lead System + AI". Both include a website. Additionally, we offer the lead system as a standalone service for integration with an existing website. The "Lead System + AI" tier includes all features and deliverables of the "Lead System" tier.

3.2 Both tiers include the website and its operation, in particular:

  • a website with 5 to 10 pages based on an industry template, mobile-optimized;
  • copywriting as well as image selection and editing;
  • domain registration in the name of the Client and an email address on that domain;
  • templates for the legal texts of the Client website pursuant to Section 12;
  • setup of Google Business Profile;
  • hosting, backups, security, and software updates;
  • inquiry notifications via email, SMS, and app;
  • revisions in accordance with Section 7.

3.3 Both tiers further include the lead system, in particular:

  • automated SMS for missed calls pursuant to Section 9;
  • a unified inbox for SMS, WhatsApp, email, Facebook, Instagram, website chat, and calls;
  • instant auto-reply to incoming inquiries;
  • a chat form on the website;
  • review request automation with reminders and response suggestions;
  • online appointment booking with automated reminders;
  • quotes and invoices module pursuant to Section 11, job board, and customer list;
  • pre-built promotional actions for End Customers;
  • monthly performance metrics;
  • access for five users; additional users at the monthly price stated in the service description;
  • quiet hours settings.

3.4 The "Lead System + AI" tier additionally includes in particular:

  • AI chat on the website pursuant to Section 10;
  • an AI assistant via SMS, WhatsApp, and Messenger pursuant to Section 10;
  • custom assistant setup tailored with Client information;
  • AI summarization and urgency prioritization of inquiries;
  • automated replies to Google reviews pursuant to Section 10.3;
  • booking by the assistant, configured with detailed services, pricing, and durations;
  • monthly intelligence report with strategic optimization suggestions.

3.5 Supplementary add-on services can be booked by the Client in the app at the fixed prices indicated therein. These include in particular Google Ads management, landing pages, Google profile and social media optimization, second languages, online shops, and, in both tiers, AI add-ons such as the AI phone assistant and the AI writer for quotes and estimates. Monthly add-ons commence with the following billing month and are cancelable on a monthly basis. One-time add-ons are invoiced after delivery with the next monthly billing. No add-on is invoiced without explicit Client confirmation.

3.6 We continuously develop our Services and may modify or replace individual features, provided the agreed core utility remains substantially intact. We announce material service modifications at least 30 days in advance. In such cases, the Client is entitled to terminate the contract effective at the end of the current billing cycle.

3.7 We deliver our Services with professional diligence. We do not warrant or guarantee any specific commercial or economic outcome. In particular, we do not guarantee search engine rankings, specific numbers of inquiries, bookings, or reviews, or revenue amounts.

4 Process and Deadlines

4.1 Following the initial consultation and receipt of the required briefing materials, the Client receives an initial design draft within two business days.

4.2 Following approval of the draft by the Client, we launch the website live within seven business days ("Go-Live"). Business days are Monday through Friday, excluding official public holidays in the Canton of Zurich, Switzerland.

4.3 Delays attributable to the Client extend these deadlines accordingly. This includes missing or delayed briefing assets, content, feedback, outstanding approvals, withheld account credentials (e.g., existing domain or Google Business Profile access), and unconfigured carrier call-forwarding settings.

4.4 If the Client is dissatisfied with the design draft, we will revise it. If we cannot reach mutual agreement, either party may withdraw from the contract prior to Go-Live free of charge.

4.5 The lead system is typically activated within the same week as the website Go-Live, subject to the call forwarding setup pursuant to Section 9.1.

5 Pricing and Payment

5.1 Prices are determined by the service description in effect at the time of order placement or booking, denominated in the currency of the respective market. All stated prices are per month and exclusive of statutory value-added tax or sales tax required under applicable law.

5.2 There is no setup fee. The Client registers a credit or debit card upon contract inception. The first charge occurs on the day of Go-Live, and thereafter monthly in advance on the same calendar day.

5.3 For each charge, the Client receives an invoice in advance and a payment receipt upon settlement, delivered by email and stored in the app. All invoices and receipts remain accessible in the app.

5.4 Price Guarantee: The price of the booked subscription tier remains unchanged for as long as the subscription continues without interruption. In the event of a tier change, the price of the new tier at the time of change applies. Following cancellation and subsequent re-booking, current list prices apply. Statutory tax rate changes remain reserved.

5.5 Upgrading to a higher tier takes effect immediately, with the price difference for the current billing cycle charged on a pro-rata basis. Downgrading to a lower tier takes effect from the start of the next billing cycle.

6 Payment Default and Suspension

6.1 If a payment charge fails, we notify the Client via email and SMS and retry the payment. The Client may update payment details and settle outstanding amounts at any time in the app.

6.2 If an invoice remains unpaid ten days after a failed payment charge, we are entitled to suspend the website and app access until all outstanding balances are settled. During suspension, all data remains securely backed up, and the website displays a neutral maintenance notice indicating temporary unavailability.

6.3 Following receipt of payment, we immediately lift the suspension.

6.4 Temporary service suspension does not relieve the Client of payment obligations. If an invoice remains unpaid 60 days past due, we may terminate the contract without notice pursuant to Section 17.3.

7 Revisions and Support

7.1 The "Lead System" tier includes two content revision requests per month, the "Lead System + AI" tier four. A revision request covers content adjustments to existing pages (e.g., updating texts, images, or service offerings) requiring up to 30 minutes of labor. Unused revision requests expire at the end of each month.

7.2 Pricing, service descriptions, and other designated content fields can be edited by the Client at any time directly in the app. These direct updates do not count towards the revision quota. Opening hours and reviews sync automatically from the Google Business Profile.

7.3 Substantial redesigns, new page layouts, or custom feature builds are quoted in advance at a fixed rate.

7.4 Support inquiries submitted via app, email, or voice message are answered by a human team member within one business day.

8 Client Obligations

8.1 The Client must supply all required materials, briefings, and information in a timely, accurate, and complete manner, notably services, pricing, business hours, and contact details, and keep them current.

8.2 The Client ensures that it holds all necessary copyrights, trademarks, and usage rights for supplied materials (texts, photos, logos, branding). The Client indemnifies and holds web.seitig harmless against all third-party claims arising from supplied content.

8.3 The Client is solely responsible for ensuring that promotional communications (such as broadcast campaigns) are directed exclusively to End Customers who have provided requisite consent or who may be legally contacted under applicable law, and that opt-out requests are strictly honored. Depending on jurisdiction, this includes the Swiss UWG, EU/UK GDPR and competition laws, the US TCPA, and the Canadian CASL.

8.4 The Client solicits reviews only from bona fide End Customers, offers no incentives or consideration for reviews, and complies with platform guidelines. Purchased, fake, or gated/filtered reviews are strictly prohibited.

8.5 The Client must use the Services lawfully. The Client shall not distribute illegal or misleading content, nor utilize the Services for spam, harassment, or unauthorized telemarketing. Industries restricted from SMS messaging under telecommunications carrier policies cannot utilize SMS features.

8.6 The Client is responsible for safeguarding login credentials and for all actions taken by its team members within the app.

9 Lead System, Phone, and SMS

9.1 The Client retains its existing telephone number. To enable automatic responses for missed calls, the Client configures call forwarding on unanswered calls to a forwarding number provided by us. Setup and any carrier forwarding charges are the Client’s responsibility; we provide technical assistance.

9.2 If a forwarded call is unanswered, the system sends an automated SMS on behalf of the Client to the calling mobile number. No SMS is sent to landlines, withheld/anonymous numbers, or opted-out numbers. Calls are not recorded, and there is no voice mailbox or pre-recorded greeting.

9.3 The number of SMS messages included per month is set out in the service description of the respective market and is counted across all system-generated SMS messages: currently 500 in the United States and Canada, and 50 in Switzerland and Europe. In the United States and Canada, automated broadcast campaigns pause until the next billing month once the limit is reached; missed-call SMS, replies to End Customers, booking confirmations, and reminders continue without interruption, and if volume repeatedly exceeds the limit, we consult with the Client to find a solution before additional costs arise. In Switzerland and Europe, the Client can buy further SMS in the app at the price shown there (top-up); promotional actions are sent via WhatsApp there.

9.4 SMS delivery is subject to carrier networks. We cannot guarantee 100% delivery under all circumstances and are not liable for third-party carrier delays or spam filtering.

10 AI Features

10.1 AI features operate strictly based on parameters configured by the Client (services, pricing, business hours, service area, FAQs). The Client is responsible for verifying the accuracy of these inputs.

10.2 The AI assistant identifies itself as an AI to users. It does not invent pricing, only confirms vacant calendar slots, and escalates to the Client when uncertain. AI-generated responses may nonetheless contain errors. Legally binding commitments, offers, and contracts are concluded solely by the Client.

10.3 Responses to 4- and 5-star Google reviews are published automatically. Responses to reviews with fewer than 4 stars are published only upon manual approval by the Client. The Client may configure settings to require manual approval for all responses at any time.

10.4 For the AI Phone Assistant, the assistant discloses at the start of each call that an AI is answering and that the call is processed to generate a summary. The Client shall not remove or alter this disclosure.

10.5 The AI writer for quotes and estimates creates draft content. Content is sent only after explicit Client approval.

10.6 For AI capabilities, we engage carefully selected enterprise AI providers listed in our Privacy Policy. Data belonging to the Client or its End Customers is never used to train public or foundation AI models.

11 Quotes and Invoices

11.1 Using the invoicing module, the Client generates quotes and invoices for its End Customers (with Swiss QR-bills in Switzerland, or local banking standards in other jurisdictions).

11.2 The invoice issuer is the Client. The Client is solely responsible for invoice content, pricing, VAT/tax compliance, sequence numbering, statutory archiving, and accounting obligations. End customer payments are received directly by the Client; web.seitig does not collect or hold funds on the Client’s behalf.

11.3 The Client can export quotes, invoices, and accounting records at any time.

12 Legal Templates for Client Website

12.1 We provide market-standard legal text templates for the Client’s website (e.g., Imprint, Privacy Policy, Cookie Banner, and SMS Terms in the US/Canada). We populate these templates with the Client’s details and features and maintain updates in line with standard regulatory changes.

12.2 Provided templates do not constitute formal legal advice. The Client remains responsible for final legal verification, particularly where specific processing activities exceed standard scopes (e.g., medical/health data, e-commerce transactions, or specialized industry rules). We accept no liability for completeness or specific regulatory suitability in individual cases.

13 Domain, Email, Website, and Data at Termination

13.1 Domains are registered in the Client’s name. During the contract term, we manage technical DNS settings. Upon contract termination, we release the domain transfer authorization code to the Client in all cases, regardless of contract duration.

13.2 The email account remains active during the contract term. Following termination, it remains accessible for 30 days to facilitate migration to a provider of the Client’s choice.

13.3 If the subscription has been active for at least twelve consecutive months without interruption, we hand over the full website to the Client upon contract termination as an export package: code, texts, images, and layout. The Client receives a perpetual, transferable right of use and can host the website with any provider. Intellectual property rights in underlying templates, components, and platform software remain with web.seitig; as part of its exported website, the Client may continue using them indefinitely. Licensed stock media may be used within the scope of respective licenses. Plan upgrades or downgrades do not reset the twelve-month duration.

13.4 If the subscription ends prior to twelve months, the website remains with web.seitig and is taken offline. Client-supplied brand assets (logo, custom photos, custom texts) are returned upon request. If we terminate without cause or discontinue the service, we hand over the website pursuant to Section 13.3 regardless of tenure.

13.5 The lead system, app access, and AI features are cloud services that cease upon subscription termination and are not part of the export package.

13.6 Contacts, conversations, quotes, and invoices can be exported at any time and upon contract end. 30 days after contract termination, we permanently delete this data, subject to statutory retention duties.

13.7 We may showcase the created website as a portfolio reference unless the Client explicitly objects.

14 Data Protection and Data Processing Agreement

14.1 We process End Customer personal data (contacts, messages, call logs, bookings, reviews, invoices) as a Data Processor on behalf of the Client under our Data Processing Agreement. The Client is the Data Controller.

14.2 Data storage locations depend on the market. Clients in Switzerland and Europe select Switzerland or Germany upon setup at no additional charge. For North American clients, data is hosted in the United States.

14.3 If the Client processes sensitive personal data (such as health data for medical practices or therapists), it must notify us prior to onboarding to establish supplementary safeguards. We do not currently offer HIPAA-compliant hosting for US healthcare providers.

14.4 Our own data processing activities are governed by the Privacy Policy published on webseitig.ch.

15 Service Availability and Third-Party Providers

15.1 We operate the Services with standard commercial diligence and strive for high availability. Maintenance windows are scheduled outside standard business hours whenever practicable.

15.2 We are not liable for outages, degradations, or policy changes of third-party providers, such as telecommunication carriers, Google, Meta, payment gateways, or domain registrars.

16 Limitation of Liability

16.1 We are liable exclusively for damages caused by intent or gross negligence. Liability for slight negligence, indirect or consequential damages, lost profits, lost business opportunities, or data loss that could not have been prevented by agreed backup routines is excluded to the maximum extent permitted by applicable law.

16.2 To the extent liability exists, aggregate liability per calendar year is capped at the total subscription fees paid by the Client in the preceding twelve months.

16.3 Mandatory statutory liability provisions remain unaffected.

17 Term and Termination

17.1 Subscriptions run for an indefinite term without minimum lock-in. The Client may cancel at any time effective at the end of the current billing cycle via the app or by email. Monthly fees already billed are non-refundable.

17.2 We may terminate the subscription upon 30 days' notice effective at the end of a billing cycle. In such case, Section 13.4 applies to website handover.

17.3 Either party may terminate immediately for good cause, notably in the event of payment default pursuant to Section 6.4, unlawful conduct, or material breach of Section 8.

17.4 Section 13 governs the post-termination handover and deletion of data.

18 Amendments to GTC

We may amend these GTC. Material amendments will be communicated to the Client at least 30 days before taking effect via email and in the app. If the Client does not agree to the amendments, it may terminate the contract effective on the date the changes take effect. The price guarantee pursuant to Section 5.4 remains unaffected.

19 Miscellaneous and Governing Law

19.1 Communications delivered by email and via the app satisfy the requirement of written form.

19.2 Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects its commercial purpose.

19.3 These GTC are available in multiple languages. In the event of discrepancy, the German version shall prevail.

19.4 These GTC and all contracts between the parties are governed exclusively by Swiss substantive law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law principles. The exclusive place of jurisdiction for all disputes is Zurich, Switzerland.
